Program Overview and Acceptance

Ease Care+ is an optional monthly subscription protection and upgrade program offered by Ease Seating Systems, Inc. ("EASE") to eligible Ease Cushion customers. Enrollment is available only within thirty (30) days of the original Ease Cushion purchase date. By enrolling, you agree to be bound by these Terms in their entirety. If you do not agree, do not enroll.

Enrollment Requirements

To enroll you must: purchase a new Ease Cushion from EASE or an authorized reseller; enroll within thirty (30) days of the original purchase date; maintain a valid payment method on file; and agree to recurring monthly billing. EASE reserves the right, at its sole discretion, to deny or revoke enrollment for any reason, including suspected abuse or fraudulent activity.

Monthly Subscription Fee and Billing

The subscription fee is $29.99 per month, billed automatically each month on your enrollment date. Subscription remains active until canceled or terminated. Failed or declined payments may result in immediate suspension or cancellation of all benefits. EASE reserves the right to modify pricing for new enrollments with thirty (30) days' notice. Existing subscribers will be notified in advance of any changes to their rate.

Accessory Replacement Coverage

While your Care+ subscription is active and in good standing, EASE will provide replacement coverage for: cushion cover, charger, battery, and cooling gel insert. The damaged accessory must be returned to EASE at the member's expense prior to shipment of any replacement. Replacement will be processed after receipt and inspection. EASE, at its sole discretion, determines whether a claimed accessory qualifies for replacement. Excessive, abusive, or suspected fraudulent claims may result in denial of coverage or termination of membership without refund. Replacement units may be new or manufacturer-certified refurbished at EASE's sole discretion.

Extended Cushion Coverage

Care+ extends cushion repair or replacement coverage beyond the standard 12-month warranty, provided the subscription remains active, the account is in good standing, and damage is not attributable to misuse, neglect, unauthorized modification, accident, or external causes. EASE reserves the right to repair the cushion, replace it with a new or refurbished unit of equal specification, or deny any claim outside program coverage. This is a service plan, not a warranty or insurance product.

Medical Device Disclaimer

The Ease Cushion is an FDA-registered Class II medical device. Care+ is a product protection and service subscription plan only. It is not a medical plan, insurance policy, or healthcare benefit of any kind. EASE makes no medical representations, warranties, or guarantees regarding clinical outcomes, therapeutic results, or health benefits. Individual results vary. Care+ does not replace professional medical advice. Members are strongly encouraged to consult a licensed physician or healthcare provider before use and for any concerns related to pressure injuries, wound care, or mobility conditions. EASE is not liable for any injury, harm, adverse health outcome, or complication arising from use or misuse of the Ease Cushion, whether or not covered under an active Care+ plan.

Upgrade Eligibility

Eligibility requires: no missed payments within the preceding 90 days; upgrade fee paid in full; new 24-month agreement signed; original cushion returned and receipt confirmed. Upgrade eligibility resets upon execution of each new agreement. Replacement cushions may be new or refurbished at EASE's sole discretion. EASE reserves the right to modify, suspend, or discontinue the upgrade program for future enrollments at any time.

Early Termination

If a member executes an upgrade and enters into a new 24-month agreement, early cancellation prior to completion of that term will result in an early termination fee. The early termination fee shall be, at EASE's sole election: the remaining unpaid subscription balance for the term, or a flat fee not to exceed $399. EASE reserves the right to pursue collection of any outstanding balance through lawful means.

Payment Default and Suspension

If a scheduled payment fails or is declined: coverage may be suspended after fifteen (15) calendar days; upgrade eligibility is revoked if the account becomes more than thirty (30) days delinquent; membership may be terminated for continued non-payment; reinstatement requires full payment of all outstanding balances and is subject to EASE's approval. EASE is not liable for any gap in coverage, harm, or inconvenience resulting from suspension or termination due to payment failure.

Exclusions

Ease Care+ does not cover: intentional damage or vandalism; normal cosmetic wear; loss, theft, or mysterious disappearance; damage from unauthorized repairs or modifications; damage from misuse or use contrary to product instructions; damage caused by accident, liquid exposure, fire, flood, or acts of nature; or accessories not listed in Section 4. EASE retains sole and absolute discretion to determine whether a claim falls within or outside coverage.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EASE SEATING SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR EASE CARE+ MEMBERSHIP OR THE EASE CUSHION, REGARDLESS OF THE THEORY OF LIABILITY.

EASE's total liability under this plan, for any and all claims, shall not exceed the total subscription fees paid by the member in the twelve (12) months immediately preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless EASE Seating Systems, its officers, directors, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use or misuse of the Ease Cushion or any covered accessory; (b) your breach of these Terms; or (c) any claim that your use of the device caused harm to a third party.

Modification and Discontinuation

EASE reserves the right to modify, suspend, or discontinue the Ease Care+ program at any time for future enrollments. Material changes to these Terms will be communicated to active subscribers with at least thirty (30) days' advance notice. Continued participation after the effective date of any change constitutes acceptance of the revised Terms.

Governing Law

These Terms shall be governed by the laws of the State of Michigan. Any disputes shall be resolved in the state or federal courts located in Genesee County, Michigan. You consent to personal jurisdiction in such courts.

Entire Agreement

These Terms, together with any executed upgrade agreement, constitute the entire agreement between you and EASE Seating Systems with respect to the Ease Care+ program and supersede all prior communications, representations, or agreements, whether written or oral.
